can somebody tell me how to write a memorandum and appendix to support in favor of a Sole Proprietorship?  I am

so lost.

  My case is about advising a client on how to form his business.  I have chosen to do the Sole proprietorship.  Bob is my client who has an estimated idea that he will generate 300k in a used car business but has not formed the business yet.  Bob has personal wealth including investments in land, stocks, and bonds at an evaluation of $ 14,000,000. He has reported an interest income of $20,000 and dividend income of $6,000 last year. The $14,000,000 includes land worth $9,000,000 that Bob bought in 1966 for $450,000. He has also, expressed the desire to possibly transfer 40% interest in his new business to his 23 year old single daughter Mandy.

Thank you for any help your can lead me in.  I have never wrote a memorandum or appendix and feel like I am guessing way to much as to the direction I should take for this final project.  I don’t want to mess it up and be unorganized so if you can just help me get organized that will be great.
